Essential Elements of a Contract (Section 10):

The Act defines a contract as an agreement enforceable by law.
To constitute a valid contract, certain essentials must be present, including offer, acceptance, lawful consideration, legal capacity, free consent, lawful object, and certainty and possibility of performance.

Offer and Acceptance (Sections 2(a) and 7):

An offer is a proposal made with the intention to create a legal relationship.
Acceptance is the unqualified assent to the terms of the offer.
Communication of offer and acceptance is complete when it comes to the knowledge of the person to whom it is made.

Consideration (Section 2(d)):

Consideration is an essential element of a contract, referring to something in return for a promise.
An agreement without consideration is void.

Free Consent (Section 14):

Consent is considered free when not caused by coercion, undue influence, fraud, misrepresentation, or mistake.
Free consent is crucial for the validity of a contract.

Capacity to Contract (Sections 11 and 12):

Voidable Contracts (Section 2(i)):

Performance of Contracts (Section 37):

Parties are bound to perform their contractual obligations.
Performance can be actual or attempted, and it must be in accordance with the terms of the contract.

Discharge of Contracts (Section 73):

Contracts can be discharged by performance, agreement, impossibility of performance, or breach.
Section 73 provides remedies in case of breach, including damages.

Illegal and Immoral Agreements (Section 23):

Agreements with unlawful objects or considerations are void.
Illegality can arise from the contravention of existing laws or being fraudulent or immoral.

Quasi-Contracts (Sections 68 to 72):

  • The Act recognizes certain obligations that resemble contracts but are not contracts in the strict sense, known as quasi-contracts.
  • These arise to prevent unjust enrichment and include situations like payment made under a mistake or coercion.

Remedies for Breach (Sections 73 to 75):

  • Section 73 provides for the measure of damages in case of breach of contract.
  • Section 74 allows parties to agree on reasonable compensation in case of a breach.
